Portal Terms of Use
Tejas Cooperative Partners client platform, portal.tejascooperative.com
Version: 1.0
Effective date: November 5, 2026
These terms govern accounts on the Tejas Cooperative Partners platform (the "Platform"). The Platform is operated by Tejas Cooperative Partners (the "Firm") as part of its consulting services. By activating or using a Platform account, the user accepts these terms. Consulting services themselves are governed by the client's Consulting Agreement with the Firm; if these terms and a signed Consulting Agreement conflict, the Consulting Agreement controls.
Accounts
- Accounts are issued to named individuals: Firm partners and staff, and the contacts a prospect or client organization designates. An account is personal to the individual and may not be shared.
- The user is responsible for keeping their credentials confidential and for activity under their account. The user will notify the Firm promptly if they believe an account has been compromised.
- Prospect accounts are limited to the prospect's own organization, its matched solicitations, and the materials the Firm enables for prospects. Client accounts are limited to the client organization's own records.
Acceptable use
The user will not:
- Access, or attempt to access, another organization's records or another user's account.
- Upload documents or data that are false, misleading, or that the user has no right to provide.
- Use the Platform to send unlawful communications or to misrepresent the user, their organization, or the Firm to any cooperative or agency.
- Interfere with the Platform's operation, security controls, or access restrictions, or attempt to reverse engineer the Platform.
- Use automated tools to scrape or bulk download Platform content, other than the exports the Platform provides for the user's own organization.
Content and records
- Documents, data, and correspondence a user provides or generates in the Platform for their organization remain that organization's records. The Firm uses them to provide the services, as described in the Privacy Policy.
- The Firm's solicitation database, rule packs, templates, and Platform software are the Firm's property or its licensors' property and are not transferred to users.
- The user is responsible for the accuracy of information and documents they provide. Certifications and forms are signed only by the organization's authorized signer.
Electronic signatures and communications
Use of the Platform's signing features requires the signer's consent to electronic signatures and records, presented at signing and recorded with the signature. Messages and notices sent through the Platform or to the user's email of record are treated as delivered when sent.
Availability and changes
The Firm operates the Platform on third-party cloud infrastructure and does not guarantee uninterrupted availability. The Firm may change Platform features, and may update these terms; material changes are announced in the Platform or by email, and continued use after the effective date of an update is acceptance of it. Each version of these terms is identified by its version number and effective date, and the Platform records which version each user accepted.
Suspension and termination
The Firm may suspend or end an account for a violation of these terms, at the end of an engagement (subject to the handover terms of the Consulting Agreement), or when an account is no longer needed for the services. A user may ask the Firm to close their account at any time.
Liability
To the extent allowed by law, the Firm's liability for Platform use is limited as stated in the applicable Consulting Agreement, or, for users without one, to one hundred dollars. The Platform is provided as is for prospect users evaluating the Firm's services.
Governing law
These terms are governed by the laws of the State of Texas.
